Terms of Service
TenderAxis is operated by Contact Directory Pty Ltd (ABN 35 620 573 328) ("we", "us"). These terms are an agreement between you and Contact Directory Pty Ltd and govern access to TenderAxis, including the hosted application, alerts, tender search, document handling, saved searches, watchlists, and related support.
1. Service
TenderAxis helps customers search, monitor, and track Australian government tender opportunities sourced from publicly available federal, state, territory, and related procurement portals. The service is a tender intelligence and workflow tool. It is not a procurement portal and does not replace the official source notice.
2. Accounts
You must provide accurate account information and keep login credentials secure. Controlled beta accounts are single-user accounts for one named person. Do not share login credentials. Team invitations are not available during the controlled beta. Notify us promptly if you suspect unauthorised access or misuse.
3. Subscription and billing
Billing is handled manually during the controlled beta. We confirm your plan, price, GST treatment, billing period, payment method, renewal terms, and cancellation terms in writing before charges begin. Creating an account does not start a paid subscription. Contact support to change or end paid beta access. Nothing in this section limits rights available under Australian law.
4. Acceptable use
You must not misuse the service, interfere with other users, attempt to bypass plan boundaries, copy data at excessive scale, reverse engineer non-public parts of the product, introduce malware or malicious code, or use the service in a way that harms availability, security, or other customers. We may suspend or limit access where needed to protect the service, comply with law, or investigate suspected misuse.
5. Data sources
Tender information is collected from public procurement sources and may include titles, buyers, dates, categories, values, descriptions, documents, links, amendments, and related metadata. We aim to make this information easier to find and monitor, but we do not guarantee that a source is available, complete, current, error-free, or unchanged. You must verify deadlines, eligibility, documents, addenda, lodgement requirements, and all other critical details with the official source before acting.
6. Decisions and professional advice
The service may help you prioritise tender opportunities, but it does not provide legal, financial, procurement, compliance, or professional advice. You remain responsible for deciding whether to bid, how to respond, and whether a notice is suitable for your business.
7. Tender documents and account notes
TenderAxis may retrieve and process documents published by connected procurement sources. Those documents remain subject to the original source's rights and conditions. Notes you add to your watchlist remain your content, and you grant us the rights needed to store, secure, display, and support those notes for your account. Customer file uploads are not available during the controlled beta. Do not send confidential or restricted material through support unless we have agreed on an appropriate method.
8. Intellectual property
TenderAxis, the application, design, software, data processing methods, and related materials are owned by us or our licensors. These terms do not transfer ownership of the service to you. Public tender material remains subject to the rights and conditions of the original source.
9. Privacy and security
Our Privacy Policy explains how we collect, use, store, and disclose personal information. You are responsible for ensuring that the account information and notes you enter are authorised and appropriate for processing through the service.
10. Availability and changes
We work to keep the service available, but availability may be affected by maintenance, infrastructure issues, third-party services, public source outages, security incidents, or events outside our control. We may change the service during the controlled beta as we learn from operator use. If a change materially affects paid beta access, we will provide reasonable notice and explain the available remedy.
11. Liability
Nothing in these terms excludes rights or guarantees that cannot be excluded under Australian law. To the maximum extent permitted by law, we are not liable for lost profits, lost revenue, lost opportunities, lost data, tender submission errors, missed deadlines, or indirect or consequential loss arising from use of the service. Where liability cannot be excluded, our liability is limited to resupplying the service or the amount you paid for the service in the previous twelve months.
12. Termination
You may stop using the service at any time and may end paid beta access by contacting support. We may suspend or terminate access if you materially breach these terms, fail to pay agreed fees when due, create security or operational risk, or use the service unlawfully. After termination, we may retain records as required for legal, security, billing, backup, and audit purposes.
13. Governing law
These terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth courts of Australia.
